Terms of Service
Last updated: 2026-08-12.
These Terms of Service (the "Terms") govern your access to and use of the OpsMax software-as-a-service offering (the "Service") operated by the Company ("OpsMax", "we", "us"). The Company's legal name, jurisdiction, and contact addresses are pending entity formation — see the notice at the top of this page. By creating an account or otherwise using the Service, you agree to be bound by these Terms.
1. The Service
OpsMax provides an AI back office for a company group. The Service is offered in two plans:
- OpsMax Platform: you run it, guided by Max.
- OpsMax Agency: OpsMax Platform plus the OpsMax team, who do the daily work in OpsMax for you.
Features available in each plan are described on the Service surfaces and in product documentation. We may modify, suspend, or discontinue the Service or any feature at any time, with reasonable notice for material adverse changes affecting paid subscribers.
2. Accounts and tenants
You must register for an account to use the authenticated portions of the Service. Each company group is provisioned as one organization (a "tenant"): the workspace that holds your data, for one or more of your companies. You are responsible for keeping your credentials secure and for all activity that occurs under your account.
3. Subscriptions and payment
When you subscribe, OpsMax Platform and OpsMax Agency are billed monthly or annually through our payment processor (Stripe). By starting a subscription you authorize us, through Stripe, to charge the payment method you provide on a recurring basis, for the term you chose, until you cancel.
OpsMax Platform begins with a 30-day trial. Nothing is charged during the trial, the first charge falls at its end, and a cancellation inside the trial charges nothing. OpsMax Agency has no trial, and its first charge carries a one-time setup fee.
You may cancel at any time via the in-product billing portal. A cancellation takes effect at the end of the term you have already paid for, and no part of a paid term is refunded, an annual term included.
4. Acceptable use
You agree not to:
- use the Service to violate applicable law or third-party rights;
- attempt to access another tenant's data or to circumvent the Service's access controls;
- interfere with or disrupt the integrity of the Service or its infrastructure;
- use the Service to send unsolicited bulk communications or to engage in fraudulent activity;
- reverse-engineer, decompile, copy, or republish the Service or any part of it.
The Service is proprietary. These Terms grant you a limited right to use the hosted Service and grant no right to its source code; no source code is published, and no source availability or self-hosting is offered.
5. Privacy
Your use of the Service is also governed by our Privacy Policy, which describes the information we collect, the sub-processors we use, and your rights with respect to your data.
6. Termination
You may stop using the Service at any time and may delete your account from the in-product settings. We may suspend or terminate your account if you breach these Terms, with reasonable notice where practicable.
7. Disclaimers and limitation of liability
The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied. To the maximum extent permitted by law, our aggregate liability arising out of or relating to these Terms or the Service is limited to the greater of (a) the amounts you paid us in the twelve months preceding the event giving rise to liability, or (b) one hundred United States dollars (USD 100).
8. Changes to these Terms
We may update these Terms from time to time. Material changes will be announced via the Service or by email to the address associated with your account. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
9. Governing law and contact
These Terms are governed by the laws of the jurisdiction in which the Company is established. That jurisdiction is not yet fixed: the Company has not completed formation, and these Terms will be updated to name both the entity and its jurisdiction once it has. For legal inquiries, contact us — a published legal contact address is pending the same formation; see the notice at the top of this page.
